Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 22, 2019, Isaac Blech, a member of the Board of Directors (Board) of ContraFect Corporation (Company), resigned. Mr. Blech did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices. Mr. Blech also served as Chairman of the Nominating and Corporate Governance Committee (Nominating Committee) and a member of the Audit Committee. Sol J. Barer, Ph.D., a member of the Companys Board, has been appointed to serve as Chairman of the Nominating Committee. Michael J. Otto, Ph.D., also a member of the Companys Board, has been appointed to serve as a member of the Audit Committee.
